Terms of Use
Effective 7 October 2026
These Terms of Use ("Terms") govern your access to and use of the Clariyo website at clariyo.ai and the Clariyo analytics platform (together, the "Service"), operated by Clariyo ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms are governed by the laws of the State of Qatar. Please read them carefully, including the limitation of liability and dispute resolution sections.
1. Definitions
- "Account" means the account you create to access the Service.
- "Connected Platform" means any third-party service you authorise Clariyo to access on your behalf (for example, Shopify, Meta Ads, Google Ads, Klaviyo, Stripe, GA4).
- "Content" means all text, data, reports, recommendations and other materials generated by the Service.
- "Customer Data" means data from your Connected Platforms that you make available to the Service.
- "User", "you", "your" means any individual or entity that accesses or uses the Service.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not have such authority, you must not use the Service.
3. Account registration
To use the Service, you must create an Account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your Account.
- Notifying us promptly at hello@clariyo.ai if you suspect unauthorised access.
We may suspend or terminate an Account that provides false information or is used in violation of these Terms.
4. The Service
4.1 What Clariyo does
Clariyo connects to your ecommerce tools through their official APIs using read-only credentials you grant. It monitors your store's data, investigates anomalies and provides analytics, insights and recommendations. Clariyo does not execute transactions, modify your store, place orders, send emails, adjust ad spend or take any action on your behalf. It recommends — you decide and act.
4.2 Read-only access
Clariyo requests only the minimum permissions necessary to read data from your Connected Platforms. We do not request or use write permissions. You may revoke access to any Connected Platform at any time through that platform's settings.
4.3 No financial, legal or professional advice
The Service provides analytical insights and recommendations based on data. It does not constitute financial, investment, legal, tax or other professional advice. You are solely responsible for any business decisions you make based on the Service's output. We recommend consulting qualified professionals before acting on any recommendation.
4.4 Accuracy and limitations
Clariyo relies on data from your Connected Platforms and third-party APIs. We do not guarantee the accuracy, completeness or timeliness of the data or the recommendations derived from it. Where data is estimated, incomplete or uncertain, the Service will indicate this. You should verify important findings independently before acting on them.
5. Subscriptions and payment
5.1 Plans
The Service is offered under subscription plans as described on our pricing page. We may offer a free tier with limited functionality. Paid plans are billed in advance on a monthly or annual cycle.
5.2 Payment
Payments are processed through our third-party payment provider. By subscribing to a paid plan, you authorise us to charge the payment method on file at the applicable rate. All fees are stated in US Dollars (USD) unless otherwise indicated. Prices are exclusive of applicable taxes (including VAT where required under Qatari law), which will be added at checkout where applicable.
5.3 Renewal and cancellation
Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access until then.
5.4 Refunds
Fees are generally non-refundable. However, in accordance with the Electronic Commerce and Transactions Law (Decree-Law No. 16 of 2010, Article 57), if you are a consumer in Qatar, you may rescind your subscription within three (3) days of initial sign-up without penalty. To exercise this right, contact us at hello@clariyo.ai within the three-day period.
5.5 Price changes
We may change our pricing at any time. Price changes for existing subscribers take effect at the start of the next billing cycle after at least 30 days' advance notice by email.
6. Your data
6.1 Ownership
You retain all rights in your Customer Data. By using the Service, you grant us a limited, non-exclusive licence to access, process and store your Customer Data solely to provide and improve the Service.
6.2 Processing
We process Customer Data in accordance with our Privacy Policy and applicable data-protection laws, including the PDPPL. Where we act as a data processor on your behalf, we will process data only in accordance with your instructions and the purposes described in these Terms.
6.3 Data portability and deletion
You may export your data from the Service at any time through the features provided. Upon account closure or disconnection of a Connected Platform, we will delete or anonymise the associated Customer Data within 90 days, unless retention is required by law.
6.4 Security
We implement appropriate technical and organisational measures to protect Customer Data from unauthorised access, loss or alteration. Details are set out in our Privacy Policy.
7. Acceptable use
You agree not to:
- Use the Service for any purpose that is unlawful under the laws of the State of Qatar or any other applicable jurisdiction.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
- Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service.
- Use the Service to transmit malware, spam or other harmful content.
- Resell, sublicence or redistribute access to the Service without our written consent.
- Use the Service in a way that interferes with or disrupts its availability or performance for other users.
- Use automated tools (bots, scrapers) to access the Service except through our official APIs.
- Misrepresent your identity or affiliation with any person or entity.
8. Intellectual property
8.1 Our rights
The Service, including its software, design, branding, documentation and all Content generated by the platform's analytical engine, is owned by or licensed to Clariyo and is protected by intellectual-property laws. Nothing in these Terms transfers ownership of any intellectual property to you.
8.2 Feedback
If you provide suggestions, ideas or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual licence to use and incorporate that feedback without obligation to you.
9. Third-party services
The Service integrates with Connected Platforms and may link to third-party websites or services. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy or practices of any third-party service.
10. Availability and modifications
We aim to keep the Service available continuously but do not guarantee uninterrupted access. We may modify, suspend or discontinue any part of the Service at any time. If we discontinue the Service entirely, we will give at least 30 days' notice and provide a means for you to export your data.
11. Limitation of liability
11.1 No consequential damages
To the maximum extent permitted by the laws of the State of Qatar, Clariyo shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of revenue, profit, business, data or anticipated savings, whether arising from contract, tort (including negligence), strict liability or otherwise, even if we have been advised of the possibility of such damages.
11.2 Liability cap
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred US Dollars (USD 100).
11.3 Exceptions
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by our negligence, or any liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend and hold harmless Clariyo, its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual-property or privacy rights; or (d) any Customer Data you submit to the Service.
13. Termination
13.1 By you
You may close your Account and stop using the Service at any time. Cancellation of a paid subscription is subject to Section 5.3.
13.2 By us
We may suspend or terminate your access to the Service immediately and without prior notice if you breach these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service or other users. Where practicable, we will provide notice and an opportunity to cure the breach before termination.
13.3 Effect of termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will continue in force, including Sections 6 (Your Data), 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law) and 15 (Dispute Resolution).
14. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict-of-law rules. This choice of law does not deprive you of any mandatory consumer protections available to you under the law of your country of residence, including rights under Qatar's Consumer Protection Law (Law No. 8 of 2008) and the Electronic Commerce and Transactions Law (Decree-Law No. 16 of 2010).
15. Dispute resolution
15.1 Informal resolution
Before initiating formal proceedings, you agree to contact us at hello@clariyo.ai and attempt to resolve the dispute informally for at least 30 days.
15.2 Arbitration
If the dispute is not resolved informally, it shall be referred to and finally resolved by arbitration administered by the Qatar International Center for Conciliation and Arbitration (QICCA) under its arbitration rules in force at the time of filing. The seat of arbitration shall be Doha, Qatar. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction, including under the Qatar Arbitration Law (Law No. 2 of 2017) and the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.
15.3 Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief from the competent courts in Qatar to protect intellectual-property rights or to prevent irreparable harm.
16. Consumer protections
If you are a consumer in Qatar, you benefit from the protections of the Consumer Protection Law (Law No. 8 of 2008) and the Electronic Commerce and Transactions Law (Decree-Law No. 16 of 2010), including:
- The right to clear and accurate information about the Service before subscribing (E-Commerce Law, Chapter 8).
- The right to rescind an electronic contract within three (3) days of signing without penalty (E-Commerce Law, Article 57).
- Protection against unsolicited electronic marketing (E-Commerce Law, Article 54).
These rights apply in addition to, and are not limited by, any other provision of these Terms. Where any provision of these Terms conflicts with mandatory consumer-protection law, the mandatory law prevails.
17. Force majeure
Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power outages, internet or telecommunications failures, or third-party service outages.
18. Notices
We will send notices to you by email to the address associated with your Account or through a notice on the Service. You may send notices to us at hello@clariyo.ai. Notices are deemed received when sent by email, provided the sender does not receive a delivery failure notification.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition or sale of substantially all of our assets, provided the assignee assumes the obligations of these Terms.
20. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
21. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clariyo regarding the Service and supersede all prior agreements, communications and understandings, whether written or oral.
22. Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
23. Language
These Terms are drafted in English. If translated into another language, the English version shall prevail in the event of any conflict or ambiguity.
24. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree, you must stop using the Service before the changes take effect.
